USER AGREEMENT – WEBPANDA.AI
Effective Date: November 2, 2025
This User Agreement (“Agreement”) governs the relationship between WebPanda.ai (“the Platform”, “we”, “our”, “us”) and all registered users (“you”, “your”), including both Clients and Freelancers. By creating an account or using our services, you acknowledge that you have read, understood, and agreed to be legally bound by this Agreement.
IN THIS USER AGREEMENT:
- “Platform” means the WebPanda.ai website and mobile applications.
- “Client” / “Employer” means a registered user who posts job, assignment, or projects or seeks freelance services on the Platform.
- “Freelancer” / ”Candidate” means a registered user who offers services or bids on projects via the Platform.
- “User” means any person who accesses or uses the platform, including Clients and Freelancers.
- “Account” means the registered profile created by a User on the Platform.
- “Agreement” means the “ User Agreement “, Terms and Conditions, along with our Privacy Policy and other policies posted on the Platform.
- “Services” means the hiring facilitation, communication tools, and related services provided by the WebPanda.ai through the Platform.
OVERVIEW & SCOPE
Prior to accessing or using the Website, you are required to carefully review this User Agreement together with all applicable terms, conditions, policies, and any linked information, as may be available on the Website at the time of such use. In case of any change in the terms and conditions, if any your continued use of the Website shall be deemed as your acceptance of the same.
By accepting this User Agreement as you access our website, you agree that this User Agreement will apply whenever you use the Website, or when you use the tools we make available to interact with the Website.
By creating an account, browsing, or using our Platform, you agree to be bound by the terms of this Agreement, along with our Privacy Policy and Code of Conduct, and any additional guidelines incorporated herein by reference.
1. NATURE OF OUR SERVICES
- WebPanda.ai is an online marketplace that connects Clients with Freelancers for project-based work;
- We are not an employer, recruitment agency, or guarantor of project outcomes;
- Contracts and commitments are directly between Clients and Freelancers.
2. ELIGIBILITY
- You must be at least 18 years of age and legally capable of entering into binding contracts to use this Platform.
- Organizations and companies must ensure that the individual acting on their behalf has authority to bind the entity to this Agreement.
- WebPanda.ai reserves the right to reject or suspend any account without obligation to provide reason You must provide accurate and truthful information during registration.
- Accounts created with false or misleading details may be suspended or terminated.
3. USER ACCOUNTS
- 3.1 Registration requires accurate, current, and complete information. You are responsible for safeguarding your login credentials.
- 3.2 Accounts are non-transferable. Any misuse, impersonation, or fraudulent activity may result in suspension or termination.
- 3.3 Users must promptly update any information that becomes inaccurate or misleading.
4. USE OF THE PLATFORM
By using the Platform, you agree to:
- Follow all applicable laws and regulations in India or outside India.
- Use the Platform only for lawful, professional purposes.
- Not post or share offensive, fraudulent, or illegal content.
- Not bypass the Platform to make “off-platform” deals with Users you met here.
- Violation of these rules may result in permanent suspension.
5. ROLE OF THE PLATFORM
- WebPanda.ai is not an employer, the relationship between Employers and freelancer is that of independent contractors, unless expressly agreed otherwise in writing between them.
- The Platform merely facilitates connections and communication. WebPanda.ai is not a party to any Job Contract, nor responsible for the performance, payment, or quality of services under a Job Contract.
6. PAYMENTS AND FEES
- Freelancers: The initial period of One (1)month, or such other duration as may be determined by WebPanda.ai from time to time, shall be free of subscription charges. Thereafter, continued access to and use of the Platform’s services shall be subject to payment of the applicable subscription fees.”.
- Clients: Basic project posting is free, with optional paid premium features.
- Service fees, if any, will be clearly shown before transactions are processed.
7. TAXES
You are responsible for paying any taxes, including any goods and services or value added taxes, which may be applicable depending on the jurisdiction of the services provided.
You acknowledge that you must comply with your obligations under income tax provisions in your jurisdiction.
8. RELATIONSHIP BETWEEN USERS
- Clients/Employers are solely responsible for defining project requirements, timelines, and budgets.
- Freelancers are responsible for delivering services as agreed.
- WebPanda.ai is not liable for payment, work quality, delays, or any kind of disputes between Users.
- If a dispute arises between employer and Freelancer, our goal is to address the concerns immediately and, if we are unable to do so to your satisfaction, to provide with a means of resolving the dispute quickly. We strongly encourage to first contact us directly to seek a resolution by using our customer support at support@webpanda.ai.
9. OWNERSHIP OF WORK & INTELLECTUAL PROPERTY
- Users retain ownership of content they upload but grant WebPanda.ai a worldwide, non-exclusive, royalty-free license to display, host, and use such content for Platform operations.
- The Client and the Freelancer shall mutually agree upon the terms and conditions governing the execution of each project, including but not limited to scope of work, timelines, deliverables, and payment schedules.”
10. USER-TO-USER COMMUNICATION
Users may mutually agree to use external modes of communication; however, communications that form part of the Platform’s core services and offerings shall continue to be conducted exclusively through the Platform.
11. LIMITATION OF LIABILITY
- WebPanda.ai provides the platform “as-is” and does not guarantee uninterrupted or error-free service.
- We are not liable for project disputes, financial losses, or indirect damages.
- Our total liability, in any case, is limited to the fees you paid us.
12. INDEMNITY
Users agree to indemnify and hold harmless to WebPanda.ai, its officers, and employees against any claims, losses, damages, or expenses arising out of
- User’s use of the Platform,
- breach of this Agreement, or
- violation of third-party rights
13. TERMINATION OF ACCOUNTS
- User may close its account at any time.
- WebPanda.ai may suspend or terminate any account at its discretion, including but not limited to violation of this Agreement.
- Upon termination, all rights to use the Platform shall cease, but accrued obligations (such as pending payments or indemnity) will survive.
14. PROMOTION OR ADVERTISEMENT
You must not promote any external website, product, or service on the Website unless we have agreed otherwise. WebPanda.ai reserves the right to display advertisements or promotions on the Website and to remove the any promotional activity done by the user.
15. DISPUTE RESOLUTION AND GOVERNING LAW
a. Good Faith Negotiation:
In the event of any dispute, controversy, or claim arising out of or in connection with the use of the Platform, these Terms, or the breach, termination, or validity thereof (“Dispute”), the Parties shall first attempt to resolve the Dispute through good faith negotiations within thirty (30) days of written notice by either Party.
b. Mediation:
If the Dispute cannot be resolved through negotiation, the Parties agree to attempt mediation before a mutually agreed neutral mediator. The mediation shall be conducted virtually or at a mutually agreed location, and each Party shall bear its own costs unless otherwise agreed.
c. Arbitration:
If mediation fails, the Dispute shall be finally resolved by binding arbitration in accordance with the Rules of the International Chamber of Commerce (ICC) or any other recognized arbitration body, as agreed by the Parties.
- The seat of arbitration shall be determined by the Platform Provider.
- The language of arbitration shall be English.
- The arbitral award shall be final and binding on both Parties.
d. Governing Law:
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which the Registered office of Platform Provider is situated, without regard to its conflict of laws principles.
e. Injunctive Relief:
Notwithstanding the foregoing, the Platform Provider retains the right to seek injunctive or equitable relief in any competent court to protect its intellectual property rights, confidential information, or business interests.
16. DISCLAIMER REGARDING USER IDENTITY
The Platform does not verify, confirm, or guarantee the identity, background, or authenticity of any User. All information provided by Users, including names, contact details, skills, experience, or credentials, is self-reported and has not been independently verified by the Platform.
Users acknowledge and agree that:
- The Platform merely facilitates connections between Users and does not conduct background checks, identity verification, or screening of any kind unless expressly stated.
- The Platform shall not be liable for any misrepresentation, inaccuracy, or false information provided by any User.
- Each User is solely responsible for conducting their own due diligence and exercising caution before engaging, communicating, or transacting with any other User on the Platform.
By using the Platform, Users accept and understand that all interactions are undertaken at their own risk, and the Platform disclaims any and all warranties, express or implied, regarding the accuracy or truthfulness of User identities or representations.
17. DISCLAIMER REGARDING CONTENT
- No Warranty or Guarantee:
The Platform provides access to content, materials, data, and information (“Content”) uploaded, shared, or made available by Users or the Platform. The Platform does not warrant, guarantee, or make any representations as to the accuracy, completeness, reliability, suitability, or quality of such Content.
- User Responsibility:
Users acknowledge and agree that they access, rely upon, and use Content at their own risk. The Platform does not endorse, verify, or validate the truthfulness, legality, or authenticity of any User-generated or third-party Content.
- Limitation of Liability:
The Platform shall not be liable for any direct, indirect, incidental, consequential, or special damages arising from the use of, reliance on, or inability to use any Content available on the Platform.
- No Professional Advice:
Any Content provided on the Platform is for informational purposes only and does not constitute professional, financial, legal, or other advice. Users should seek independent advice where appropriate before making any decisions based on Content.
- Reporting Inappropriate Content:
Users are encouraged to report Content that appears to be false, misleading, offensive, or unlawful through the Platform’s designated reporting mechanisms. The Platform may, but is not obligated to, review, remove, or moderate such Content.
18. RETENTION OF RIGHTS
Our failure or delay to enforce any provision of this Agreement, or to respond to an anticipated or actual breach by you or any other User, shall not be deemed a waiver of our right to enforce such provision or act upon any subsequent or similar breaches. Nothing in this section shall limit or exclude liability arising from fraud or fraudulent misrepresentation.
19. PLATFORM ENFORCEMENT RIGHTS
The Platform expressly reserves all rights, to the fullest extent permitted by law, to protect its Services, Users, and operations. Without limiting any other available remedies, the Platform may, at its discretion:
- Restrict, suspend, or terminate access to the Services or User accounts;
- Block or ban Users from accessing the Platform;
- Remove, restrict, or disable any Content posted by Users;
- Implement any technical or legal measures necessary to prevent misuse or unauthorized access.
The Platform may exercise these rights in response to conduct it reasonably believes violates these Terms or applicable law, including, but not limited to:
- Using the Services for fraudulent, illegitimate, or non-genuine purposes;
- Causing disruption, conflict, or potential legal exposure with other Users or the Platform;
- Violating intellectual property or other legal rights of third parties;
- Acting contrary to the purpose or intent of any Platform policies or guidelines;
- Harassment, abusive, or inappropriate communication toward Platform staff;
- Misconduct, abuse, or unsatisfactory performance in programs such as Preferred Freelancer or Rising Stars;
- Attempting to use the Platform or Services for any unlawful, harmful, or objectionable activity.
20. PRIVACY
Your personal information will be handled in accordance with our Privacy Policy, which forms part of this Agreement.
21. UPDATES TO AGREEMENT
WebPanda.ai reserves the right to modify, amend, or update the Terms and conditions of this agreement at its sole discretion. Your continued use of the Platform after any such modification shall be deemed to constitute your acknowledgment and acceptance of the revised Terms and Conditions.
22. SEVERABILITY
If any provision of this Agreement is found to be invalid, illegal, or unenforceable under any applicable law, such provision shall be severed or modified to the minimum extent necessary to make it enforceable, and the remaining provisions of this Agreement shall remain in full force and effect. The invalidity, illegality, or unenforceability of any provision shall not affect the validity or enforceability of the remaining provisions, and the Parties shall endeavour in good faith to replace the invalid provision with a valid and enforceable provision that most closely reflects the Parties’ original intent.
23. INTERPRETATION
Headings are for reference purposes only and in no way define, limit, construe or describe the scope or extent ofsuch section.
24. FEEDBACK, NOTICE, COMMUNICATION & GRIEVANCE REDRESSAL

- Users agree to ensure that all feedback, ratings, and reviews posted are fair, accurate, and based on actual transactions or interactions. Users shall not post false, misleading, defamatory, or offensive comments, or engage in any activity intended to manipulate or distort another User’s reputation or ratings.
- Users shall not:
- Offer or accept any form of compensation, incentive, or reward in exchange for providing, modifying, or removing feedback or reviews;
- Post multiple feedback entries for the same transaction; or
- Coordinate with other Users to provide biased or fraudulent feedback.
- All feedback, comments, and reviews submitted on the Platform shall be deemed to be the exclusive property of the Platform. The Platform reserves the right to use, display, reproduce, modify, or distribute such feedback in any form or medium for legitimate business purposes, including marketing, quality control, and dispute resolution.
- The Platform reserves the right, but not the obligation, to monitor, review, or remove any feedback or review that it determines, in its sole discretion, to be inappropriate, inaccurate, offensive, misleading, or in violation of this Agreement or applicable laws, without prior notice to the User.
- The Platform is not responsible or liable for any opinions, statements, or feedback posted by Users. Feedback represents the personal views of individual Users and does not reflect the opinion of the Platform. Users are encouraged to exercise discretion and independent judgment when relying on feedback or ratings.
- Users who receive feedback or reviews shall have the opportunity to submit a response or clarification through the Platform’s designated mechanism, subject to moderation and compliance with the Platform’s content policies.
- Legal notices will be served or to the email address you provide to user during the registration process. Notice will be deemed given 24 hours after email is sent, unless the sending party is notified that the email address is invalid or that the email has not been delivered. Alternatively, we may give you legal notice by mail to the address provided by you during the registration process. In such case, notice will be deemed given three days after the date of mailing.
- You consent to receive notices and information from us in respect of the Website and Services by electronic communication. You may withdraw this consent at any time, but if you do so we may choose to suspend or close your Account.
